1. Agreement to Terms

By accessing or using Pro Reach ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Pro Reach is an AI-powered content creation platform that provides:

• AI-generated LinkedIn posts and copywriting
• AI-generated images and visuals
• Content repurposing tools (YouTube, blogs, text to LinkedIn formats)
• Profile and usage management features

3. Account Registration and Subscription

3.1 Account Creation

You must create an account to use the Service. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

3.2 Free Trial Credits

New users receive 50 free credits to explore the Service. By signing up, you understand that:

• Trial credits do not expire based on time, but you may use them until exhausted
• To continue using the Service after exhausting your free credits, you must subscribe to a paid plan
• Trial credits cannot be refilled or renewed

3.3 Subscription Plans

You may subscribe to one of our paid plans:

• Starter Plan: $39/month
• Pro Plan: $99/month
• Enterprise Plan: Custom pricing

You may upgrade or downgrade your subscription at any time. Changes will take effect at the start of your next billing cycle.

3.4 Billing and Payments

• Subscriptions are billed monthly in advance
• Payments are processed through Stripe
• You authorize us to charge your payment method for all fees incurred
• All fees are non-refundable except as stated in Section 4

4. Money-Back Guarantee and Refunds

We offer a 14-day money-back guarantee from the date of your first paid charge. To request a refund within this period, contact us at bastian@laisolutions.dk.

After the 14-day period, all fees are non-refundable. No refunds or credits will be issued for:

• Partial months of service
• Unused generations or features
• Downgraded or cancelled subscriptions

5. Usage Limits and Fair Use

Your subscription plan includes specific monthly limits on:

• Text generations (posts, repurposed content)
• Image generations

Usage limits reset at the beginning of each billing cycle. Unused generations do not roll over to the next month.

6. Content Ownership and License

6.1 User-Generated Content

Content you create using the Service (including AI-generated posts and images) belongs to you. You have full ownership and may:

• Use the content for personal or commercial purposes
• Modify, distribute, or publish the content without restriction
• Use the content on any platform or medium

6.2 No Attribution Required

You are not required to credit or attribute Pro Reach when using AI-generated content.

6.3 Input Data

Any information you provide to generate content (business context, prompts, topics) remains your property.

7. User Responsibilities and Acceptable Use

7.1 Content Responsibility

You are fully responsible for all content you create and publish using the Service, including:

• Copyright and intellectual property compliance
• Defamation, libel, or harmful content
• Accuracy and truthfulness of claims
• Compliance with LinkedIn's Terms of Service and platform policies
• Any legal issues arising from your use of AI-generated content

7.2 AI-Generated Content

You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate material
• You must review and verify all AI-generated content before publishing
• Lai Solutions LLC is not responsible for the quality, accuracy, or appropriateness of AI-generated content
• AI systems may occasionally produce unexpected or unintended results

7.3 Prohibited Activities

While using the Service, you agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Use the Service to create illegal, harmful, or offensive content
• Attempt to reverse engineer, hack, or compromise the Service
• Share your account credentials with others
• Use automated systems to abuse the Service (unless explicitly permitted)

8. Data and Privacy

8.1 Data Usage

Lai Solutions LLC does not use your generated content (posts, images) to train AI models or for any commercial purposes beyond providing the Service to you.

8.2 Data Retention

• Generated content (posts and images) is stored for 30 days
• After account deletion, your data will be removed in accordance with our Privacy Policy
• You may request data deletion at any time by contacting bastian@laisolutions.dk

8.3 Third-Party Services

The Service uses third-party AI providers (OpenAI, Replicate) to generate content. By using the Service, you acknowledge that your prompts may be processed by these providers in accordance with their respective terms and privacy policies.

9. Email Communications and Consent

9.1 Consent to Receive Emails

By creating an account with Pro Reach, you consent to receive email communications from us at the email address you provide. These communications may include:

• Transactional Emails: Essential account notifications, billing confirmations, password resets, service updates, and security alerts
• Service Announcements: Important updates about new features, service changes, and product improvements
• Promotional Communications: Marketing emails, special offers, tips for using the Service, and newsletters

9.2 Opting Out of Promotional Emails

You may opt out of receiving promotional emails at any time by:

• Clicking the "unsubscribe" link in any promotional email
• Adjusting your email preferences in your account settings

Please note that even if you opt out of promotional emails, you will continue to receive essential transactional emails related to your account, billing, and service usage, as these are necessary for the operation of your account.

9.3 Email Frequency

The frequency of our communications will vary based on your account activity and subscription status. We respect your inbox and strive to send relevant, valuable content.

9.4 Compliance

Our email communications comply with applicable anti-spam laws, including CAN-SPAM Act and GDPR requirements. All promotional emails include clear identification, accurate sender information, and an easy opt-out mechanism.

10. Intellectual Property

9.1 Service Ownership

Pro Reach, including its design, features, software, and branding, is owned by Lai Solutions LLC and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms.

11. Cancellation and Termination

11.1 Cancellation by User

You may cancel your subscription at any time through your account settings or by contacting bastian@laisolutions.dk. Cancellation will take effect at the end of your current billing cycle.

11.2 Termination by Us

We reserve the right to suspend or terminate your account if you:

• Violate these Terms and Conditions
• Engage in fraudulent or abusive behavior
• Fail to pay subscription fees

11.3 Effect of Termination

Upon termination:

• Your access to the Service will be revoked
• You will no longer be charged
• Your data will be deleted in accordance with our retention policy (Section 8.2)
• You retain ownership of all content created before termination

12. Disclaimers and Limitation of Liability

12.1 Service Provided "As-Is"

THE SERVICE IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of uninterrupted or error-free service
• Warranties regarding the accuracy or reliability of AI-generated content

12.2 No Guarantee of Results

We do not guarantee that:

• The Service will meet your specific needs
• AI-generated content will be accurate, complete, or suitable for your purposes
• The Service will be available at all times without interruption
• Any specific engagement or results will occur from using AI-generated content

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAI SOLUTIONS LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use of AI-generated content
• Damages arising from service interruptions or errors

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12.4 Third-Party Content

We are not responsible for:

• Content extracted from third-party sources (YouTube, blogs)
• Copyright issues arising from repurposed content
• Accuracy of transcripts or extracted content
• Third-party API availability or functionality

13. Indemnification

You agree to indemnify and hold harmless Lai Solutions LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Content you create or publish using the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by:

• Posting a notice on the Service
• Sending an email to your registered email address

Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Changes to Service and Pricing

15.1 Service Modifications

We may modify, suspend, or discontinue any feature of the Service at any time without notice.

15.2 Pricing Changes

We may change subscription prices at any time. Price changes will:

• Be communicated to you at least 30 days in advance
• Take effect at your next billing cycle
• Give you the option to cancel before the new price applies

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Lai Solutions LLC is registered, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiation between parties
2. Binding arbitration if negotiation fails
3. Courts of competent jurisdiction as a last resort

17. General Provisions

17.1 Entire Agreement

These Terms constitute the entire agreement between you and Lai Solutions LLC regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.
